Shoal Games Ltd. Successfully Completes $2,000,000 Private Placement

ANGUILLA, B.W.I., June 9th, 2016 / Shoal Games Ltd. (TSX-V “SGW”) (OTCQB: “SGLDF”) http://www.shoalgames.com (“the Company”), announces that it has successfully closed the second stage of its previously announced CAD$2 million private placement (the “Offering”). The Company made a non-brokered distribution of 1,833,334 Common shares at $0.60 per share which raised proceeds of $1,100,000. The exempt market Offering was completed in the province of British Columbia. On May 5^th, 2016 the Company announced completion of the first stage of the Offering which raised proceeds of CAD$902,760 through the issuance of 1,504,600 common shares at CAD$0.60 per share. All shares issued in the Offering have a four-month hold period from the date of issue. Final approval from the TSX Venture Exchange has been received for the Offering.

(TSXV:SGW) (OTCQB:SGLDF) http://www.shoalgames.com (“the Company”), owner of Trophy Bingo (http://www.trophybingo.com), a mobile game live in the Apple, Google and Amazon App Stores, and Garfield Bingo, currently in production and scheduled for a Q4 2016 release, today announced its unaudited financial results for the first quarter ended March 31, 2016. All amounts are presented in United States dollars and are in accordance with United States Generally Accepted Accounting Principles.

Recent Shoal Games Ltd. highlights include:

• Total revenue for the quarter ended March 31, 2016, was $110,559, an increase of 29% from revenue of $85,535 in the fourth quarter of 2015.
• Sales and marketing expenses from continuing operations were $201,587 for the quarter ended March 31, 2016, a decrease of 40% from sales and marketing expenses of $337,130 in the fourth quarter of 2015.
• MGABPPU (Monthly Gross Average Bookings Per Purchasing User) was $22.38, an increase of 28% from MGABPPU of $17.51 in the fourth quarter of 2015.
• Subsequent to the quarter ended March 31, 2016, the Company secured the brand rights to produce Garfield Bingo.
• Subsequent to the quarter end, the Company closed the first phase of it’s $2 million private placement for 1,504,600 common shares at $0.60 / share which raised proceeds of CAD$ 902,760.

Shoal Games Ltd. Closes First Stage of $2 Million Private Placement

ANGUILLA, B.W.I., May 5th, 2016 / Shoal Games Ltd. (TSX-V “SGW”) (OTCQB: “SGLDF”) (“the Company”), announces that it has closed on the distribution of 1,504,600 common shares at $0.60 per share (the “Offering”) which raised proceeds of CAD$ 902,760. The Offering was conducted in the provinces of British Columbia, Alberta, Saskatchewan, Manitoba and Ontario with subscribers qualified under the Offering Memorandum exemption available in section 2.9 of National Instrument 45-106. Stockhouse Publishing hosted the Offering through its online Deal Room.

The Company is seeking to close the balance of its $2 million private placement through the participation of qualified accredited investors. Closing of the second stage of the private placement is scheduled for the end of May 2016. Stockhouse Publishing will continue to host the Offering through its online Deal Room at www.Stockhouse.com. Shares issued on closing of the Offering have a four month hold period from the date of issue. Final approval of the TSX Venture Exchange has been received for the Offering.
